The GigaStar secondary market platform, called GigaStar Trading, is an SEC-registered digital Alternative Trading System (ATS) that allows eligible investors to buy and sell previously issued Channel Revenue Tokens (CRTs) with other investors after the initial offering period and any applicable restricted period, subject to securities regulations and platform rules. (e.g., Reg CF = 12-month restricted holding period).

This secondary market platform enables peer-to-peer trading of existing CRTs.

• GigaStar Market (Primary Market): GigaStar Portal LLC dba GigaStar Market is an SEC-registered Funding Portal and member of FINRA that offers securities under Regulation Crowdfunding (Reg CF) platform. • GigaStar Trading (Secondary Market): GigaStar Securities LLC dba GigaStar Trading is an SEC-registered broker-dealer (BD) operating a digital Alternative Trading System (ATS) for Digital Asset Securities. This is a secondary market trading venue separate from the primary market (GigaStar Market), where eligible investors may buy and sell CRTs with one another.

Primary offerings raise capital for Creators. Secondary trading allows existing investors to trade CRTs, transferring ownership, subject to market availability.

Yes. You'll need a GigaStar Trading account to trade on the secondary market, even if you already have a GigaStar Market account.

Here's what to do:

1. Sign up through our new single sign on (SSO) app. This creates your new login and adds two factor authentication (2FA) to keep your account secure. You'll use this same app to log in to all GigaStar apps going forward.
2. Use those same login credentials to complete onboarding and set up your GigaStar Trading account.

Eligible Channel Revenue Tokens (CRTs) that:

• Were issued in primary offerings on the GigaStar Market
• Have satisfied applicable holding requirements

No, CRTs are a digital token but not a cryptocurrency. They represent an investor's share in a YouTube channel's future AdSense revenue. CRTs facilitate blockchain-based distribution of revenue using the USDC stablecoin or directly to a bank account. They also grant access to the Channel’s GigaStar Discord and other potential benefits. GigaStar has received approval by the SEC to create a secondary market for CRTs, allowing investors to sell their revenue-sharing interests. The value of CRTs depends primarily on the underlying revenue interests and can fluctuate based on the channel's performance and external market factors.

Yes. CRTs are private securities that are offered under Regulation Crowdfunding and are subject to applicable U.S. securities laws and platform rules.

Yes. Once you open a GigaStar Trading account, you’ll be able to transfer your YouTube revenue distributions in USDC directly to your bank account in US Dollars.

Investors who meet eligibility requirements, complete the secondary market platform onboarding process, and are located in supported jurisdictions may participate.

Yes. Eligible investors may buy CRTs on the secondary market even if they have never invested in a primary offering.*

Before trading, investors will be required to open a secondary market account, which includes:

• Complete identity verification & Compliance process*
• Meet investor qualification requirements
• Accept updated disclosures and platform agreements
• Fund your account/Link a supported account or wallet (if applicable)

The onboarding process is designed to be simple and typically takes only a few minutes.

*To help the government fight the funding of terrorism and money laundering activities, Federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account. What this means for you: When you open an account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see your driver's license or other identifying documents.

Generally, only access to the Creator’s private Discord community transfers with ownership on the secondary market.

All other perks from the primary market offering are non-transferable.

Whoever is the CRT holder of record at the beginning of the calendar month will receive the distribution payable later that month, typically around the 25th.

To elaborate, for any CRT where a trade is completed before 12:00:01 am on the 1st day of the month, the next distribution, typically around the 25th of the month, will go to the holder of the CRT at 12:00:01 am on the 1st day of the month, regardless of trading activity between the 1st and the day of the distribution for that month.

Once sold, future monthly revenue distributions associated with those CRTs go to the new owner.

No. The 12-month holding requirement applies only to CRTs purchased in the primary market. CRTs acquired on the secondary market are eligible for trading during trading hours, subject to market conditions and platform rules.

The GigaStar Trading secondary market operates:

• 9:30 a.m. – 4:00 p.m. Eastern Time

2. Potential Price Discovery: The potential high volume of transactions may help determine fair market prices, making it easier for investors to enter and exit positions.

4. Transparency: Available price information and trade data help build trust and encourage participation, further enhancing liquidity.

Yes. If there is an active secondary market for the CRT, an investor may potentially sell partial holdings, subject to minimum trade sizes and platform rules.

If you purchased CRTs from a GigaStar Market offering and connected a personal digital wallet in GigaStar Portfolio, opening a GigaStar Trading account will change how your wallet works. Your personal wallet will be replaced by our custodial wallet. Your Channel Revenue Tokens (CRTs) will move to this custodial wallet, and all future revenue distributions will go there as well.

If you have never connected a personal digital wallet in GigaStar Portfolio, this wallet change does not apply to you.

Yes. Transaction fees may apply and will be clearly disclosed before any trade is executed.
